Terms of Service

These terms apply when a firm ("you", "the customer") subscribes to the K.services resource planning platform provided by K.services ("we", "us"). Your order form, quote or written confirmation (the "Order") sets out the plan, fees and any customisation we agreed. If the Order and these terms differ, the Order applies for that point.

1. The service

We set up and host a K.services system for your firm, configured to your grades, rates, offices, holidays, approval steps and branding as agreed in the Order, and we keep it running, updated and supported by email. Your system and database are separate from other customers'.

2. Setup

The one-time setup fee covers discovery, entering your historical data for you from the files you provide, configuration of teams and permissions, and training for your managers and staff, as described on our website and in the Order. Work outside that scope, such as additional customisation, is quoted separately before we start. We need accurate and complete information from you to set up on time, and delays on your side move the go-live date.

3. Fees and payment

• Fees are in Singapore dollars and exclude applicable taxes such as GST, which we add where required.
• The setup fee is due before work starts, unless the Order says otherwise.
• Subscriptions are billed monthly in advance, or yearly in advance if you chose the 12-month option. Any launch offer, such as a free first month or a discount for paying 12 months upfront, applies only as stated in the Order.
• Invoices are due within 14 days. If a payment is overdue we may suspend access after giving you written notice, and we will restore it once you pay.
• The plan depends on the number of people you schedule. If you grow beyond your plan's limit, we will move you to the plan that fits, and the new price applies from the next billing period.
• We may change subscription prices with at least 60 days' written notice, effective from your next renewal.

4. Term and ending the service

Monthly subscriptions continue until either of us ends them with 30 days' written notice. Yearly subscriptions run for 12 months and renew for a further 12 months unless either of us gives written notice at least 30 days before the renewal date. Setup fees and fees already paid for a period that has started are not refundable, except where we are in material breach and do not fix it within 30 days of your written notice.

Either of us may end the agreement immediately by written notice if the other materially breaches it and does not fix the breach within 30 days of notice, or becomes insolvent.

When the agreement ends, we will give you an export of your data on request within 30 days, then delete it from our systems within a reasonable period, subject to any copies we must keep by law.

5. Your data

You own the data you put into the platform, including your staff, project and timesheet records. You give us permission to host and process it only to provide the service to you. You are responsible for having the right to provide that data, including your staff's personal data, and for the accuracy of what you and your users enter. How we handle personal data is explained in our Privacy Policy.

6. Your users and acceptable use

• You are responsible for your users' accounts, for keeping sign-in details secret, and for deciding who has which role.
• Do not use the service unlawfully, try to break or overload it, probe it for weaknesses without our written permission, or access another customer's data.
• Tell us promptly if you suspect an account has been compromised.

7. Our rights in the software

We keep all rights in the K.services software, design and documentation. You get the right to use the service for your own firm's internal planning for as long as you subscribe. Buying the source code is a separate licence, set out in its own written agreement, and is not covered by these terms.

8. Availability and support

We work to keep the service available and will tell you in advance where we can about planned maintenance. We do not guarantee that it will be uninterrupted or error-free. Support is by email and WhatsApp on business days in Singapore, and we aim to reply within one business day. Priority support, where included in your plan, is described in the Order. We keep backups of your system and test restoring them, but you should keep your own copies of anything critical, and you can ask us for an export of your data at any time.

9. Limits on our responsibility

K.services is a planning and record-keeping tool. The decisions you make with it, including staffing, billing, payroll, leave approval and compliance with employment or audit standards, remain yours, and you should check figures that matter before relying on them.

To the extent the law allows, we are not liable for indirect or consequential loss, or for lost profits, revenue or goodwill. Our total liability for anything arising from the service is limited to the fees you paid us in the 12 months before the event that gave rise to the claim. Nothing in these terms limits liability that cannot be limited by law, such as for fraud.

10. Confidentiality

Each of us will keep the other's non-public information confidential, use it only for this agreement, and disclose it only to people who need it or where the law requires.

11. Changes to these terms

We may update these terms. We will tell customers of changes that matter in writing before they apply to them. The date at the top shows the latest version.

12. Governing law

These terms are governed by the laws of Singapore. We will first try to settle any dispute by talking to each other in good faith, and failing that, the courts of Singapore have jurisdiction.
